LEASE AGREEMENT <br />THIS LEASE AGREEMENT (hereinafter "Lease") made as of this 2 day of May, 2025, is <br />entered into by and between the City of Ramsey, a Minnesota Municipal Corporation, 7550 Sunwood <br />Drive, Ramsey, Minnesota 55303 ("Landlord") and Mille Lacs Motor Sports II, a Minnesota <br />Corporation, 6781 Highway 10 Ramsey, MN 55303 ("Tenant"). The Landlord and the Tenant are <br />hereinafter collectively referred to as "the parties" and individually as a "party." <br />IN CONSIDERATION OF the mutual agreements expressed herein, the parties agree as follows: <br />1. Purpose. Landlord is the fee owner of the Premises described in Paragraph 2 of this <br />Agreement. Tenant desires to rent the Premises from Landlord for Tenant's use as a place for <br />servicing ATV's, boats and trailers. Landlord is willing to lease the Premises to Tenant <br />pursuant to the terms and conditions of this Lease. <br />2. Premises. The "Premises" consists of the 4,864 square feet of office and warehouse area <br />(excluding the pit area service bay) located in the building located at 6745 Highway 10 <br />Northwest, in Ramsey, Minnesota and which building ("Building") is located on the <br />following legally described property: <br />Lot 2, Block 2, DEAL INDUSTRIAL PARK, Anoka County, Minnesota. <br />The Premises also include the nonexclusive use of the paved parking areas adjacent to the Building, <br />excluding the fenced in area. The Tenant's employees and invitees shall not be permitted to the use of <br />those parking areas which interfere with the reasonable use of other tenants located within the Building. <br />The Premises is depicted on the attached Exhibit A hereto. Exhibit A is incorporated herein as if fully <br />set forth in this Lease. <br />Term. The term of this Lease is for a period of seven months, commencing on June 1, 2025 <br />(the "Commencement Date") and ending at midnight on January 31, 2026, unless extended by <br />written agreement of both parties or sooner terminated as provided herein ("Lease Term"). <br />If Tenant desires to end this Lease, Tenant may do so by providing Landlord with 90 days <br />prior written notice. Notwithstanding the Lease Term, Landlord may terminate this Lease at <br />any time at Landlord's sole option upon 90 days prior written notice to Tenant. <br />4. Use. The Premises shall be used by Tenant as a commercial use for servicing ATV's, boats <br />and trailers. Tenant will not make or suffer any unlawful or offensive use of the Premises or <br />any use or occupancy thereof contrary to any federal law, state law or ordinance of the City <br />of Ramsey now or subsequently hereto made. Tenant will not conduct or permit to be <br />conducted any activity, or place any equipment in or about the Premises, which will in any <br />way increase the rate of fire insurance or other insurance on the Premises; and if any increase <br />in the in the rate of fire insurance or other insurance is stated by any insurance company or by <br />the applicable Insurance Rating Bureau to be due to activity or equipment of Tenant in or <br />about the Premises, such statement shall be conclusive evidence that such increase in such <br />rate is due to such activity or equipment and, as a result thereof, Tenant shall be liable for <br />Lease Agreement <br />Page 1 of 9 <br />
