meeting of property owners is to be held in March for the purpose of electing property owners to
serve on the Board. Dean Sundquist and Jim DeLalley are the two property owners originally
appointed to the Board; Dean Sundquist no longer owns property in the Park, and technically,
Jim DeLalley's term has expired. The covenants also state that if a vacancy of a property owner
occurs on the Board prior to the annual March meeting, the remaining members on the Board
shall elect a replacement to serve the remainder of the term, which in this case would be until
March 1998. The covenants doesn't place any restrictions on consecutive terms for property
owners, and Mr. DeLalley may still be interested in continuing to serve until at least March 1998.

Chairperson Wagner suggested sending out a letter to property owners in the Park to determine
who is interested in serving on the Board.

Ms. Frolik agreed to do this, adding that she will contact Mr. DeLalley to see if he is still
interested in serving on the Board until March.

Commissioner Deemer suggested adopting similar covenants for Oak Ridge Industrial Park.

Mr. Schroeder advised that it is part of the Development Agreement that they are subject to these
covenants.

Commissioner Deemer stated that would make them eligible candidates for the Board, and Mr.
Schroeder agreed.

ADJOURNMENT

Motion by Board Member Thorud and seconded by Board Deemer to adjourn the meeting.

Motion carried. Voting Yes: Chairperson Wagner, Board Members Thorud, Deemer and
Schroeder. Voting No: None. Absent: Board Members DeLalley and Kent.

The Business Park 95 Architectural Review Board meeting adjourned at 6:46 p.m.

Respectfully submitted,

~M.
