Mn/DOT Agreement No. 91083 CFMS Contract No. STATE OF MINNESOTA J;OINT POWERS AGREEMENT FOR PROFESSIONAL/TECHNICAL SERVICES State Project Number (SP): 0202-90 Trunk Highway Number (TH): 10 Anoka County Project Number: SP 199-010-09, Federal No. HPPHHI96(002) Project Identification: TH 10 Preliminary Design in Anoka County This Agreement is between the State of Minnesota, acting through its Commissioner of Transportation ("State"), Anoka CountY, through its Board of Commissioners, address: 1440 Bunker Lake Boulevard, Andover, MN 55304 ("County") and City of Ramsey, through its City Council, address: 7550 Sunwood Drive NW Ramsey, MN 55303 ("City"). Recitals 1. Minnesota Statutes 915.061 authorizes State to engage such assistance as deemed necessary. 2. Minnesota Statutes S471.59 authorizes State, County, and City to enter into this Agreement. 3. State is in need of a preliminary design of TH 10 from approximately a half a mile west of County State Aid Highway (CSAH) 56 (Ramsey Boulevard) to a half mile east of CSAH 57 (Sunfish Lake Boulevard) including further development of interchange designs for these two intersections with TH 10. The project limits are within Anoka County and the City of Ramsey. 4. County represents that it is duly qualified and agrees to perform all services described in this Agreement to the satisfaction of State. Agreement 1 Term of Agreement; Survival of Terms; Incorporation of Exhibits 1.1 Effective date: This Agreement will be effective July 1, 2007 or the date State obtains all required signatures under Minnesota Statutes Section 9 16C.05, subdivision 2, whichever is later. 1.2 Expiration date: This Agreement will expire on May 1, 2009, or when all obligations have been satisfactorily fulfilled, whichever occurs first. 1.3 Survival of Terms: All clauses which impose obligations continuing in their nature and which must survive in order to give effect to their meaning will survive the expiration or termination of this Agreement, including, without limitation, the following clauses: 6. Liability; 7. State Audits; 8. 'Government Data Practices; 9. Intellectual Property Rights; and 10. Venue. 1.4 Exhibits: Exhibits A and B are attached and incorporated into this Agreement. 2 Scope of Work and Deliverables (all activity code 1129) 2.1 Pursuant to applicable laws, County will enter into a subcontract with a consultant SRF Consulting Group, Inc., to perform the following tasks: 2.1.1 Environmental Documentation (Environmental Assessment) 2.1.2 Geometric Layout Preparation 2.1.3 Cost Estimates 2.1.4 Prepare Design Memorandum 2.1.5 Project Management, Meetings and Coordination See Exhibit A for additional information on the Scope of Work and Deliverables. Payment 3.1 Consideration. State will reimburse County with state funds for 100% of the subcontractor costs actually paid by County for work performed under this Agreement up to a maximum of $62,500.00 and under MnlDOT Agreement No. 91096 plus Supplement#1 to that Agreement, incorporated by reference up to $682,760.00 in federal funding for a total of$74~,260.00.County will share equally with City the -383- n___ 1 .....t'.::.
