Mayor Gamec stated that he feels it is a benefit to have a hotel attached. He stated that this land
is all privately owned, so when they say they submitted a letter of intent to proceed, he asked
what the City could help with since this is private land.

Mr. Boynton stated that he thinks the basic model would be the same whether it is private or
public.

Mayor Gamec stated that knowing where the City can help is important and also that there be
some benefit for Ramsey residents.

Mr. Boynton stated that the St. Michael development agreement shows that any resident can
have a daily pass at a discounted rate, and they do not have to be members. He stated that there
are also daily passes given to the City to use as they see fit. He stated that the other benefit is
that the City gets a facility without the financial burden of having to run it.

Councilmember Dehen asked what Flagship needed from the City to move to the next step.

Mr. Boynton stated that they are asking for an agreement to work exclusively with the City for a
period of time. He suggested the agreement could be for a period of 6 months and can be re-
evaluated at that time.

Councilmember Jeffrey stated that he would want to be very clear that, if the expectation is for
the City to bond for this land, the City takes a look at the financial implication of participation.
He asked if this is a mutually exclusive agreement with Flagship, whether the City can make
good on it, since the City doesn't control the property.

Mr. Boynton stated that the agreement wouldn't be tied to the property, but to the idea and
concept.

Councilmember Dehen stated that the issue is, as he understands it, a hotel and fitness club
combination, so, it seems to him if an agreement is entered into, it should be a 3-way agreement,
rather than just a 2-way agreement.

Mr. Boynton stated that he doesn't disagree, because their preference is the 9 acres that they have
been discussing, so it would be appropriate for a. 3-way agreement, unless the City has some
other parcels that can be explored.

Mayor Gamec stated that he thinks Mr. Deal is pretty well set on where he wants the hotel and,
with the issues on the Crestview property, he agrees that would be a great location.

City Administrator Ulrich stated that other possible land may be Town Center land, which may
break free in the next 6 to 12 months. He stated that he thinks that should be considered and the
City should be open to other land possibilities.

City Council Work Session I October 14, 2008
Page 3 of7
