AGREEMENT THIS AGREE.MENT, made and entered into by and between the CITY OF RAMSEY, a municipal corporation of the State of Minnesota (the "CITY"), and RAMSEY LAND COMPANY, LLC, a Minnesota limited liability company, (the "OWNER"). WITNESSETH: WHEREAS, Owner has contracted to purchase the property located at 9550 156th Avenue Northwest, Ramsey, Minnesota 55303, and legally described as: Lot 1, Block 1 , West Ramsey Industrial Park, Anoka County, Minnesota (the "Property"); WHEREAS, the Property is one lot of a larger subdivision known as the West Ramsey Industrial Park; WHEREAS, West Ramsey Industrial Park was developed pursuant to a Development Agreement dated June 4, 2002 by and between the City of Ramsey and J.R. Land and Cattle Company LLC (the "Development Agreement"); WHEREAS, the Development Agreement has been recorded in the Office of the Anoka County Recorder on June 4, 2002, as Document No. 1680746; and WHEREAS, all of the terms, conditions and requirements of the Development Agreement have been complied with respect to the Property. NOW, THEREFORE, the CITY and OWNER agree as follows: 1. CITY agrees that all of the terms, conditions and requirements of the Development Agreement have been met with respect to the Property, and hereby releases the Property from the Development Agreement in all respects. 2. OWNER acknowledges that pursuant to City Codes the building on the Property must be connected to the City's sanitary sewer system and municipal water system within two years of the date on which both of those systems are available to serve the Property. OWNER acknowledges that the Property will be specially assessed for the benefit of the sanitary sewer and municipal water utilities pursuant to then City special assessment policy. ~
