-112- <br /> <br />AGREEMENT BETWEEN T~!E DEVELOPERS <br /> STORM SEWER TRUNK <br /> <br />THIS AGREEMENT is made effective as of the 4th day of June, 2002, by and bc~'ween Edina <br />Development Corp., Inc., 700 Industry Avenue, Anoka, MN 55303, O~ood Land Development, <br />Inc., I611 Highway 10, NE, Sphng Lake Park, MN 55432, and Total Freedom Corporation of <br />Ramsey, 15596 St. Francis Boulevard, Ramsey, MN 55303, hereinafter reX'erred to as the <br />Developers. <br /> <br />The Developers agree to enter into a Contract with John Oliver & Associates, Inc., for r. he design and <br />construction related services associated with construction of a storm sewer tnmk in the City of <br />Rm'nsey, ~vfinnesota. The Developers also agree to enter into a second Contract w/th an unnamed <br />Utility Contractor who will construct the storm sewer trunk and who will be selected through a <br />bidding process. <br /> <br />Costs for the storm sewer trunk project design and construction will be shared between the <br /> <br />Developers based on the following schedule: <br /> <br />37.8% <br /> <br />Edina Development Corp. Inc. <br />Oakwood Land Development, Inc. <br />Total Freedom Corporation of Ramsey <br /> <br />Each DeveloPer will be responsible for paying their share of the design and construction costs <br />directly to John Oliver & Associates, Inc. <br /> <br />Edina Development Corp. will take a lead role in managing the project and John Oliver & <br />Associates, Inc. will provide an Owner's Representative at critical times, such as the preconstruction <br />meeting, or as needed in order for the project to proceed. Contract Amendments must be approved <br />by all three Developers. <br /> <br />Oakwood La.ndDevelopment, 'Inc. and Total Freedom Corp..o~' Ramsey will reimburse Edina <br /> of the cost storm <br />Development Corp., Inc.
