<br />DEVELOPMENT AGREEMENT

<br /> CIT5' OF RAMSEY
<br />ANOKA COUNTY, MINNESOTA
<br />
<br /> THIS AGREEMENT, made and entered into by and between the CITY OF
<br />RAMSEY, a municipal corporation of the State of Minnesota (the "CITY"), and WPH
<br />PROPERTIES, INC., a Minnesota corporation, whose address is I]900 Wayzata Blvd., Suite
<br />208, Minnetonka, MN 55305 (the "DEVELOPER").
<br />
<br /> WITNESSETH:
<br />
<br /> WHEREAS, the DEVELOPER is the fee owner of the following described property
<br />situated in the CITY OF RAMSEY, County of Anoka, State of Minnesota, and tegal}y described
<br />as follows:
<br />
<br /> Ouflot I, Wood Pond Hills, Anoka County, Minnesota;
<br />
<br /> and upon recording:
<br /> Lots 1, 2, 3, 4 and 5, Block 1; Lots 1 and 2, Block 2; Lots 1 and 2, Block 3; Lots 1, 2, 3,
<br /> 4, 5, 6 and 7, Block 4; Outlots A, B, and C; Wood Pond Hills 4th Addition; Anoka
<br /> County, Minnesota; and
<br />
<br /> WHEREAS, on August 24, 199.3, pursuant to Resolution No. 94-06- . the CITY
<br />approved the final plat of the Subject Property which plat is known as WOOD POND HILLS
<br />4TH ADDITION (the "Plat"), which approval is contingent on certain requirements, including
<br />DEVELOPER and CFFY entering into this A~eement; and
<br />
<br /> WHEREAS, the final plat for the Su~ect Property conforms to the prelimina_D., plat for
<br />Wood Pond Frills approved by the CITY on December 17, 1991; and
<br /> WHEREAS, a ~unk usage ch~ge ~s required by the CITY for usage of its Trunk Sewer
<br />and Water System; and said charge has been assessed on the subject proper-fy in conjunction with
<br />the Wood Pond Hills Developmem A~eemenr; and
<br />
<br /> WHEREAS, the DEVELOPER intends to cause the construction of the following
<br />improvements in the Plat without financial participation on the parr of the CITY, to-wit: Sanitary
<br />sewer, storm drainage facilities, watermains and appurtenances, and streets with concrete curb and
<br />gutter, which improvements are termed Stage I Improvements in the City Code ("Stage I
<br />Improvemems"); and
<br /> WHEREAS, City Code Section 9.50.50 defines "Stage I" Improvements and "Stage II"
<br />Improvements which respective definitions are used herein when reference is made to "Stage I"
<br />and "Stage II" Improvements; and
