ARTICLE II, POWERS AND DUTIES OF OFFICERS AND BOARD OF <br />TRUSTEES <br /> <br />SECTION 1, POWERS AND DUTIES OF BOARD OF TRUSTEES <br /> <br />The Board of Trustees shall have exclusive control and management of all property and <br />funds of the association, from whatever source derived, and shall constitute the governing <br />body of the association with full power and authority to carry out the objects and purposes <br />of the association as set forth in the articles in incorporation and these by-laws and the laws <br />of the State of Minnesota. The funds received by the relief association from dues, fines, <br />initiation fees, and entertainment shall be kept in a fund called the general fund, and may be <br />disbursed for any purposes authorized by the articles of incorporation and by-laws of the <br />association. The relief association is hereby authorized and empowered to invest its funds <br />in such income-paying properties and securities as authorized by law. Benefits shall in all <br />cases be within the limits authorized by state law and in accordance with the articles of <br />incorporation and by-laws of the association. <br /> <br />SECTION 2, PRESIDENT'S DUTIES. <br /> <br />The president shall preside at all meetings of this association and at all meetings of the <br />Board of Trustees; sign all checks drawn by the treasurer for the payment of such sums of <br />money as may from time to time be disbursed by the association; sign such certificates and <br />notices as may need the president's signature to authenticate them; and have general <br />supervision over the association and its affairs. <br /> <br />SECTION 3, VICE-PRESIDENT'S DUTIES. <br /> <br />The vice-president shall assist the president. He/she shall perform the duties of the <br />president during the absence or disability of the president, and, in the case of a vacancy in <br />the office of president, until a successor has been chosen and has qualified. <br /> <br />SECTION 4, SECRETARY'S DUTIES, SUBDIVISION i <br /> <br />The secretary shall give the required notice of all meetings of the association and all <br />meetings of the Board of Trustees. He/she shall notify each officer and each general trustee <br />of his/her election or appointment to office. He/she shall keep a minute book, noting <br />therein the proceedings at al/meetings of the association including the dates and amounts of <br />all receipts and the source from which derived, and the dates and amounts of all <br />expenditures with the payee and object. He/she shall act as custodian of the seal and <br />records of the association, sign its official papers, give such notices as may be required, <br />and perform such other appropriate duties as may be imposed upon him/her by the Board <br />of Trustees. <br /> <br />SECTION 4, SECRETARY'S DUTIES, SUBDIVISION 2. <br /> <br />At each regular meeting of the Board of Trustees, the secretary shall submit a report in <br />writing, showing the names of all persons who have become or ceased to be members <br />since his/her last report, the names of all persons to whom money has been paid, and the <br />amount paid to each, the amount of money received since his/her last report and the source <br />thereof, the amount of money on hand, and where the same is invested or deposited, and <br />such other information as will show the financial condition of the association. <br /> <br /> <br />
