explicitly incorporate all changes in Minnesota Statutes applicable to this Contract. Such <br />event may occur at any time during a contract period, and the adoption of amendments to this <br />Agreement pursuant to changes in the governing Minnesota Statutes shall he deemed to be in <br />compliance with Paragraph 20 of this Agreement, the "Entirety Clause". <br />4 SCHOOL MANAGEMENT AND ADMIINISTRATION, <br />4.1 PACT shall comply with Minnesota Statues yet it shall be exempt from all Minnesota <br />statutes and rules applicable to a school, a school board or a school district, except as <br />provided by the Act or as otherwise provided in this Contract. <br />4.2 PACT shall be operated by a Board of Directors elected in accordance with policies <br />and procedures set forth in Attachment 4, "Bylaws of PACT Charter School." <br />4.3 PACT shall be governed by a Board of Directors. t loard members shall be elected <br />every year, according to PACT's bylaws. Employees of PACT including teachers <br />providing instruction, and the parents of children enrolled in PACT may participate <br />in the election in accordance with the policies and procedures set forth in PACT's <br />bylaws. Licensed teachers employed at PACE including teachers providing <br />instruction under a contract with a cooperative, must comprise a majority of the <br />Board of Directors, unless the commissioner waives the requirement for PACT. <br />4.4 The PACT Board will also participate in an ongoing improvement process, which <br />includes accountability by an outside educational organization (such as North Central <br />Accreditation) in cooperation with Bethel University.. <br />4.5 Meetings of PACT Board of Directors shall comply with applicable Minnesota State <br />statutes, such as, but not limited to, open meeting laws and employment statutes. <br />4.6 PACT Board of Directors shall decide matters related to the operation of PACT, <br />including, but not limited to, budgeting, curriculum, and operating procedures. <br />4.7 PACT shall have all powers, duties and responsibilities provided by law to a results - <br />oriented charter school. <br />4.8 PACT Board of Directors shall employ and contract with necessary teachers, as <br />defined by Minnesota Statutes section 122A.15, subdivision 1, who hold valid <br />licenses to perform the particular service for which they are employed at PACT. <br />4.9 PACT Board of Directors may employ necessary employees who are not required to <br />hold teaching licenses to perform duties other than teaching and may contract for <br />other services. <br />4.10 PACT Board of Directors may discharge teachers and non -licensed employees. <br />4.11 PACT shall comply with Minnesota Statute 179A, Public Employment Relations Act <br />(PELRA), and the'I'eachers Retirement Act, MN Chapter 354 and 354A. <br />4.12 PACT shall abide by all federal laws, statutes and regulations applicable to charter <br />schools in Minnesota. <br />5 AUTHORITY OF THE SCHOOL. <br />5.1 PACT may exercise those powers reasonably necessary to accomplish its obligations <br />in this Contract. <br />5.2 Except as stated herein or otherwise required by law, BETIIEL UNIVERSITY shall <br />have no authority, control, power, or administrative or financial responsibility over <br />PACT.
