I I I I I I I I I I I I I entitled to compensation or reimbursement for expenses incurred in attending meetings, except to the extent that the ~)overning body Of a party might determine to compensate or reimburse the expenses of the member it appoints, in which case the obligation to make such payments shall be that of the party and not that of the Organization. 2.7 Officers: lhe Drganization shall elect fro~, its membership a chair, a vice-chair, a secretary and a treasurer and such other officers as it deems necessary to reasonably carry out the purposes of this Agree- ment. All such officers shall hold office for a term of one year and until their successors have been elected by the Drganization. An officer may serve only while a member of the Organization and may be re-elected to an office, A vacancy in an office shall be filled from the membership of the Organization by election for the remainder of the unexpired term of such office. 2.8 Quorum: A majority of all voting members to the Organization shall constitute a quorum, but less than a quorum may adjourn a scheduled meeting. 2.9 _Meetings: Regular meetings of the Organization shall be held at least once per quarter on a day selected by the Organization. Special meetings may be held at the call of the chair or by any two members giving not less than forty-eight {48} hours written notice of the time, place and purpose of such meeting delivered or mailed to the residence of the Organization members.
