Each dues paying member shall have one vote. M~bership on or ~presentatives to the Organization shall be evidenced by resolution of the governing body of each party, filed with the Organization. 2.3 le~: )he m~bers o( the Organization ~hall not have a fixed te~ ~t shall serve at the pleasure of the governing body of the party appointin: such m~ber to the Organization. 2.4 Vacancies' A vacancy on the Organization shall be filled by the governing body of the party ~ose membership position on the Organization is vacant. 2.5 Additional Members~ )he Organization may, with the ratification of the governing bodies of all voting members of the Organization, invite oth~ units of government within the Rum River Watershed to also bec~e parties tc ~is Agreement. lhe governing body of such additional party shall appoint ~ber to the Organization who shall have voting rights in accordance with the provisions of Section 2.2, and in all respects thenceforth enjoy the (ull rights, duties, and obligations of this Agreement. 2.6 C~ensation ~nd Expenses' lhe Organization members shall not be -2-
