response to the RFP shall remain confidential, except to the City and the Committee, until <br />selection and approval of the Developer for the Project.(NEED QUALIFYING LANGUAGE- <br />SITE TO DATA PRIVACY LAW WH1CH PERMITSt <br /> <br />Upon completion of the 3-step evaluation process, the Committee shall promptly report its <br />findings to the City Council. The City Council may request that the Committee conduct further <br />evaluations of Proposals. After reviewing the Committee's evaluation results, the City Council, <br />in their sole discretion, shall select the Developer for the Project. Ail City Council consideration <br />and review of any Proposal ("Proposal" needs to be defined) shall be at properly scheduled <br />public City Council meetings. <br /> <br />5.2 Contract Negotiations and Approval Process <br /> <br />Upon selection of a Developer by the City, contract negotiations will begin. The City and the <br />selected Developer shall execute an Exclusive Negotiation Agreement and mutually work toward <br />reaching final agreement, of a Developers Agreement and a Purchase and Sale Agreement. The <br />Developers Agreement will be of typical form and content normally afforded these documents to <br />secure the necessary City entitlement for a project. The Purchase and Sale Agreement will only <br />be required in the event that the selected Developer is unsuccessful in the assembly of all <br />identified parcels for the Project and requests that the City assemble any remaining properties <br />utilizing its eminent domain authority.(NEEDS QUALILGY'NG LANGUAGE IN CASE CITY <br />UNABLE TO ACQUIRE BY EMINENT DOMAIN) <br /> <br />The City, in its sole and absolute discretion, may at any time, cease negotiations and may reject <br />any contract terms and conditions deemed not to be in the best interest of the City. Should <br />negotiations with the selected Developer be unsuccessful, the City may begin negotiations with <br />another Developer that has completed the 3-step evaluation process. <br /> <br />The Development Agreement and Purchase and Sale Agreement shall include a Master Land Use <br />Plan for the Project prepared by the selected Developer and approved by the City; the selected <br />developer shall be responsible for, and incur all expenses related to the preparation of the Master <br />Land Use Plan. <br /> <br />5.3 Procurement Schedule <br /> <br />The tentative schedule for the RFP procurement process is as follows: <br /> <br />City Council Action to Issue RFP <br />Request for Proposal Issued <br />Pre-Proposal Meetings <br />Developer Questions Due <br />RFP Clarifications Issued <br />Proposals Due <br />Developer Selected <br /> <br />March 28, 2006 <br />March 29, 2006 <br />Week of April 10, 2006 <br />April 14, 2006 by l:00pm, CST <br />April 19, 2006 <br />April 28, 2006 by 5pm CST <br />June, 2006 <br /> <br />6.
