Upon successfully entering into an Exclusive Negotiations Agreement, the selected Developer <br />will complete the following work items: <br /> <br />6.1 Scope of Services - Pre-Development Agreement and Purchase and Sale Agreements <br /> <br />Actively seek out acquisition agreements with all land owners within the Project area to <br />limit the Cities need to exercise its authority to acquire property using eminent domain; <br />and <br /> <br />Work closely with city staff and cities consultants to develop a plan which creates the <br />highest and best land use and tax base for the city; and <br /> <br />Obtain ail entitlements, environmental approvais (including an EAW), clearances, <br />governmental approvals and permits required for development and construction of the <br />Project and satisfy all conditions of approvais granted; and <br /> <br />6.2 Scope of Services - Post-Development Agreement and Purchase and sale Agreements <br />Once the Development Agreement and Purchase and Sale Agreements are executed and <br />approved, and the Closing has occurred, th~ Developer for the Project shall: <br /> <br />1. Coordinate Project management, consulting, planning, architectural, engineering, <br /> environmental, financial, construction management, marketing/sales and any other <br /> administration or coordination services which are customarily furnished and reasonably <br /> necessary to carry out the Project in accordance with the Development Agreement, <br /> Purchase and Sale Agreement and the approved Master Land Use Plan; and <br /> <br />2. Select, negotiate and enter into Contracts and agreements with one or more contractors <br /> and/or consultants (and other developers, if serving as a master developer), in accordance <br /> with applicable legal requirements of the Development Agreement, for the provision of <br /> any or all of the services required to complete the Project; and <br /> <br />3. Obtain land and cons~uction financing and permanent financing as needed for the Project <br /> and provide a feasible method for the repayment of ail loans and advances; and <br /> <br />4. Negotiate and enter into leases, Purchase and Sale agreements, operating agreements, and <br /> easements, dedicate rights-of-way and other lands as necessary to governing authorities <br /> as stipulated in the Developers Agreement; and <br /> <br />5. Pay ali fees as necessary to the City and any other goveming authority as required in the <br /> Development Agreement. <br /> <br />7.
