Work closely with city staff and cities consultants to develop a plan which creates a cinema project of similar style and size as included in this Proposal; and Obtain all entitlements, Preliminary and Final Plat approvals, clearances, governmental approvals and permits required for development and construction of the Project and satisfy all conditions of approvals granted; and 7.2 Scope of Services - Post-Development Agreement and Purchase and Sale Agreements Once the Development Agreement and Purchase and Sale or Lease Agreements are executed and approved, the Selected Developer for the Project'shall: ~ · 1. Coordinate Project management, consulting, planning~ architectural, engineering, environmental, financial, construction management, marketing/sales and any other administration or coordination services which are. customarily furnished and reasonably necessary to carry out the Project in accordance with the Development Agreement, Purchase and Sale Agreement; and 2. Select, negotiate and enter into contracts and agreements with one or more contractors and/or consultants (and other developers, if serving as a master developer), in accordance with applicable legal requirements of the Development Agreement, for the provision of any or all of the services required to complete the Project;, and 3. Obtain land and/or construction financing and permanent financing as needed for the -Project and provide a feasible method for the repayment of all loans and advances; and 4. Pay ail fees as necessary tO the City and any other governing authority as required in the Development Agreement. 8. Proposal Requirements Developers should use the format and organization prescribed below when providing the information requested in this RFP. Lengthy narratives containing extraneous informatxon are discouraged. Information should be accurate for the Development Team, including all proposed team members and consultants). Developers are advised to pay particular attention to the use of the word "shall" in this RFP. Use of the word "shall" indicates required information that must be submitted in order for the Proposal to be considered for the Project. Proposals submitted to the City pursuant to this RFP shall be delivered to the City on or before 5:00 PM Central Standard Time on XXX, X, 2006. Proposals electronically transferred, including but not limited to email or sent by facsimile, will not be accepted. Proposals sent via US Mail should be certified mail, return receipt requested. Developers are responsible to ensure affective delivery; late Proposals shall not be considered. Failure of a party to submit its proposals to the City in a timely manner shall preclude that party from further consideration as Ramsey Town Center Cinema - Request for Proposals 9 ofll -352-
