All costs due under this Agreement shall be paid within 45 days of receiving written . invoice from RAMSEY to BURNS. The payment for services required by this Agreement is subject to annual review and revision dllring subsequent terms of this Agreement. 5. Burns's Indemnity. Throughout the term of this Agreement, to the fullest extent permitted by law, BURNS shall indemnify RAMSEY, its members, employees, agents and others acting on its behalf, hold them harmless, and defend and protect them from and against any and all loss, damage, liability, claims, cost or expense (specifically including attorneys' fees and other costs and expenses of investigation and defense), of any sort, resulting from injury or death to any person, or from loss of, damage or injury to any property or property interest, however caused, arising out of or in connection with the negligence or other wrongful act or omission of BURNS, its employees or agents, or its contractors or others whose acts or omissions BURNS is responsible, or arising out of or in connection with RAMSEY's performance under this Agreement. 7. Termination of Agreement. It is understood and agreed by both parties to this Agreement that either party without cause upon ninety days written notice may terminate this Agreement. If this Agreement is terminated by RAMSEY without cause, it will reimburse BURNS the prorated portion of the annual payment referred to in Section 4 for the period following the effective date of termination.
